This agreement now hereafter referred to as the "Agreement", establishes the terms and conditions governing the use of PinPointm.com service (hereinafter "PinPoint'm"). By using the site "PinPoint'm" or any of its tools you (the "User") agree to fully accept every one of the terms and conditions of the "Agreement". If you do not totally agree with every one of the terms and conditions of this “Agreement”, you should immediately discontinue the use of “PinPoint’m” and all of its tools. The access or use of the "PinPoint'm" site or any of its tools is your full and complete acceptance and approval to the terms and conditions of this "Agreement."

We reserve the right to modify, alter or update the terms and conditions of this agreement without notice at any time. The changes will take effect immediately after being published on the website of "PinPoint'm". Using "PinPoint'm" after the publication of the Agreement constitutes your acknowledgment and acceptance of the same, and its amendments. Except as provided in this paragraph, this Agreement may not be modified.

• Service Description
  "PinPoint'm" is a tracking and locating service of mobile devices developed and managed by GSCs Software Inc. (hereinafter the "Provider") which reserves the right to modify, suspend or cancel the service at any time without notice. "User" is responsible for its use, exploitation and utilization, as well as of the equipment and mechanisms required to access services including cellular phones, tablets, computers, Internet connections and any related expenses.
• Disclaimer of Warranties
  The "Provider" makes no warranties of any kind, whether expressed, statutory, or implied for any of the services or tools provided under this Agreement and expressly disclaims the same. The website, information and tools of "PinPoint'm" are provided "as is" and "as availability". The "Provider" does not offer or accept guarantees of any kind, either expressed or implied with respect to information, usage, accuracy, reliability and results. This includes but is not limited to the correction, accuracy and reliability of the information received or sent and tools. The usage of “PinPoint’m” is under your own risk and responsability. The "Provider" shall have no liability for any interruption in service, information accuracy, information reliability, quality of service, usability of tools and expressly refuse all promises, representations and warranties related to any and all services and products offered, including the implied warranties of merchantability and fitness for a particular purpose and noninfringement.
• Quality of Service
  The "Provider" shall ensure that the information contained in the site is accurate and up to date at the time of inclusion. Likewise The "Provider" will ensure that the services and tools are of the highest quality, error-free, uninterrupted, however, there may be service disruptions, errors or involuntary inaccuracies of which the "Provider" won't be liable in any way nor will commit to the immediate solution of errors or failures of any kind.
• Limitation of Liability
  You the "User" expressly acknowledge and agree that the "Provider" shall not be liable for any indirect, incidental, special, consequential, or exemplary losses or damages, including without limitation damages for lost profits, foodwill, use, data, down time, failure to realize savings, or other indirect loss (even if advised as to the possibility of such damages) resulting from to the use of "PinPoint'm", its tools and/or the information contained in it whether such damages arise in contract, negligence, tort, under statute, in equity, at law, or otherwise, even if the "Provider" has been advised of the possibility of such damages
• Indemnification
  You the "User" (and also any third party for whom you operate an account or activity on the Service) agree to defend (at the "Providers" request), indemnify and hold the "Providers" Parties harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with any of the following (including as a result of your direct activities on the Service or those conducted on your behalf): (i) your access to or use of the Service; (ii) your breach or alleged breach of these Terms of Use; (iii) your violation of any third-party right, including without limitation, any intellectual property right, publicity, confidentiality, property or privacy right; (iv) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; or (v) any misrepresentation made by you. You will cooperate as fully required by the "Provider" in the defense of any claim. The "Provider" reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of the "Provider".
• Modification, interruption or cancelation of service
  The “Provider" reserves the right to modify, discontinue or terminate the service for any reason at any time, with or without notice to the "User". The "User" acknowledges and agrees that the "Provider" does not guarantee continuous or uninterrupted website and/or tools access nor availability, the operation of the service can be interfered with or adversely affected by numerous factors or circumstances beyond control of the "Provider".
• Third Party Sites
  The "PinPoint'm" website and tools, can include links to other websites that are owned and operated by other third party online merchants. The "User" acknowledges that the “Provider" is not responsible for the availability of, or content located on any third party site. The "User" should contact the administrator or webmaster of such third-party sites if he has questions regarding such links or the content located on such sites. The use of such third party sites is subject to the terms of use and privacy policies of each site, and we are not responsible therein. We encourage all users to review terms of use and privacy policies of each third party sites.
• Confidenciality
  The "User" agrees to maintain the confidentiality of all information and content of "PinPoint'm" site and tools, including but not limited to copying files, screens or images, disclosure or publication of "PinPoint'm" contents or images in another third-party websites or blogs, etc.
• Privacy
  The “Provider" agrees to keep confidential all the information received from the "User" having such status under the applicable legal provisions and in the United Mexican States, so that the "Provider" will not give “User” personal information to third parties, unless it is required to deliver a product or provide a service requested by the "User". Notwithstanding noted above, and given the nature of the Internet, the "Provider" does not guarantee that all of the website usage, services and tools are free of risk, so the "Provider" shall have no liability, including damages or any others that might be caused by the misuse of third party information created, received, transmitted, or stored on site.
• Intelectual Property
  All content included or available on "PinPoint'm" website and tools, including designs, text, graphics, interfaces and the selection and arrangement belongs to the "Provider", with all rights reserved, and is owned by the "Provider" and/or third parties protected by intellectual property rights. Any use of materials and tools on the web site and tools, including reproduction for purposes other than those noted above, modification, distribution or duplication, any form of data extraction or data mining, or other commercial exploitation of any kind, without the prior written permission of the "Provider" is strictly prohibited. "Users" agree not to use any robot, spider, other automatic device or manual process to monitor or copy our web pages, the content or tools without the prior written permission of the "Provider". All trademarks appearing on the website and "PinPoint'm" tools are trademarks of their respective owners and do not constitute an endorsement nor a recommendation of those vendors. In addition, such use of trademarks or links to the web sites of vendors is not intended to imply, directly or indirectly, that those vendors endorse or have any affiliation with "PinPoint'm".
• Non-Transferability of Accounts
  All "User" accounts on "PinPoint'm" are personal and not transferable, ie can not be transferred or used by anyone other than the subscriber. The "User" can not sell, lease or rent accounts to anyone who has not expressly accepted and agreed to be bound by the terms and conditions of this "Agreement". The user accounts on "PinPoint'm" cannot be used for resale. Violations of any of the provisions of this Section are grounds for suspension and/or termination of service.
• Service Fees
  Some "PinPoint'm" services are subject to subscription dues with a defined term. There are different types of dues which will vary and can be in the form of single or recurring payment depending on the service concerned. It is responsibility of the "User" to request the corresponding quote before suscribing to any service, this quotation will be valid during the period of the service and may change in their renewal, where the "User" can reserve the right to continue or cancel the service.
• Refunds
  The "PinPoint'm" services have a free trial period designed for the "User" to verify and validate the functionality of the services before suscribing them. Once the "User" suscribes to a pay service, the "provider" does not offer refunds of any kind, however, we'll try to help as much as possible until the "PinPoint'm" services work as expected.
• No Assignment
  The right of the "User" to use any services or tools provided by the "Provider" is non-transferable and is subject to the limits set by it. The "User" can not assign or transfer this "Agreement" in its whole or in part to third parties without the express written consent of "Provider", acting, in any case, at the sole discretion of the same, as it is the only entity that can assign this "Agreement" at will.
• Binding Obligation and Authority
  You the "User" manifests and warrants you have read and understood this "Agreement" and that it constitutes a valid and legally binding agreement; and that you have full power, authority and legal capacity to enter into this "Agreement" and perform your obligations hereunder. If you are registering on behalf of a company or other entity, you agree that you have the authority to bind such company. This "Agreement" shall be inure to the benefit of, be binding upon, and be enforceable by the parties it describes and their respective officers, directors, employees, representatives, successors, and permitted assigns.
• Serverabilty
  If any provision of this "Agreement" is found to be invalid or unenforceable in any jurisdiction in which it is performed, then the meaning of that section shall be interpreted, to the extent feasible, in a way that renders it enforceable. If no feasible interpretation is possible, the section will be severed from the rest of this "Agreement" and the rest of the "Agreement" will remain in full force and effect. No such severing shall affect the interpretation of the applicable provision or any other part hereof in any other jurisdiction or with respect to any other facts or circumstances.
• Applicable Laws and Jurisdiction
  For the interpretation, compliance and enforcement of these "Agreement" and Privacy, the "User" agrees that Federal laws of the United Mexican States and the competent courts from Mexico City, shall apply, expressly waiving to any other jurisdiction that may be applicable due to their present or future domiciles or for any other reason. This shall apply regardless of where the "User" generate, communicate, transmit, receive or store messages, or use "PinPoint'm" site or tools.
